SCOTTSDALE, Ariz. – Rose Law Group pc has added Samuel Barfoot, a transactional real estate and finance attorney whose work spans some of the most complex commercial deals in the market, including large-scale credit facilities, construction financings, and cross-border transactions involving multiple regulatory frameworks.
Barfoot has represented clients on transactions such as a $495 million Fannie Mae credit facility secured by dozens of properties across ten states, a $300 million construction financing combining senior and mezzanine debt for a major development company, and a nearly $400 million logistics park sale involving a subsidiary of a Korea-based parent company that required creative structuring to satisfy U.S. and Korean regulatory considerations. He has also advised investors, REITs, private equity funds, emerging growth companies, and developers on acquisitions, dispositions, leasing, project development, joint ventures, restructurings, and both secured and unsecured corporate credit facilities.
“Sam’s work touches the kinds of transactions that drive regional development and shape business growth,” said Jordan Rose, founder and president of Rose Law Group. “His understanding of how sophisticated deals are structured—both legally and financially—will be a significant asset to our clients.”
Barfoot’s practice spans almost every asset class, including office, multifamily, manufactured housing, retail, and industrial properties. He is also experienced in handling complex debt and equity financings, including transactions involving senior and junior debt, agency-backed lending, and corporate credit facilities for real estate investment trusts.
Before turning his attention exclusively to transactional work, Barfoot spent the early part of his career as a commercial litigator. He represented business owners, developers, and real estate entities in a wide variety of disputes, serving as lead counsel in dozens of bench trials and appearing before state and federal courts, arbitration panels, mediation forums, and administrative agencies. His litigation background continues to shape his approach to transactional matters, giving him a practical understanding of risk, negotiation leverage, and the issues that can derail deals if not addressed early.
“Having litigated the kinds of disputes that arise when transactions go wrong, Sam brings a forward-looking perspective to his deal work,” Rose added. “That combination of experience is rare and extremely valuable.”
Barfoot joins the firm’s expanding real estate and business transactions team at a time when Arizona continues to see significant investment activity across commercial, industrial, and mixed-use sectors.
